
Terms and Conditions for Vendors Registering to Sell via Agile African Restaurant.

These Terms and Conditions ("Agreement") govern the relationship between Agile African Restaurant ("Platform," "we," "us," or "our") and food vendors ("Vendor," "you," or "your") who register to sell food through our virtual restaurant platform in the United Kingdom. By registering, accessing, or using the Platform, you agree to be bound by this Agreement.
Please read these terms carefully before registering.
1. Eligibility
1.1 Legal Authority: Vendors must have the legal authority to sell food in the United Kingdom. By registering, you confirm that your business is duly licensed and in compliance with applicable food safety and hygiene regulations, including but not limited to the Food Safety Act 1990 and any relevant local authority regulations.
1.2 Minimum Age: Vendors must be at least 18 years old.
2. Vendor Registration and Account
2.1 Account Creation: To sell food on the Platform, you must create a Vendor account, providing accurate, current, and complete information. This includes details about your business, food offerings, and certifications and availability.
2.2 Account Responsibility: Vendors are responsible for maintaining the confidentiality of their account credentials. All activities occurring under your account are your responsibility. You must notify us immediately of any unauthorized use of your account.
2.3 Approval: We reserve the right to review and approve or reject any Vendor registration application at our discretion.
3. Food Safety and Compliance
3.1 Legal Compliance: Vendors must ensure compliance with all applicable laws and regulations concerning the preparation, storage, and sale of food, including health and safety regulations and allergen labelling requirements.
3.2 Allergen Information: Vendors must clearly communicate any allergens contained in their food. Vendors are responsible for ensuring that all allergen information provided is accurate. Vendors must adhere to Natasha’s law and other relevant UK laws. The allergen content of foods packaged within the European Union are required by law to include allergen information (Regulation No 1169/2011).
This legislation has been in place since December, 2014 and mandates that ingredient lists on food labels have to clearly highlight (for example in bold type) that they contain any of the 14 allergens
3.3 Licenses and Inspections: Vendors are required to hold and maintain all necessary food hygiene ratings, licenses, and certifications. You agree to provide evidence of these upon request. Failure to maintain these certifications may result in suspension or termination of your account.
4. Food Quality and Service Standards
4.1 Quality: Vendors are expected to provide high-quality food and service. All food must be fresh, properly prepared, and meet the highest hygiene and safety standards.
4.2 Delivery and Packaging: Food must be packaged in a manner that ensures it remains fresh and safe for consumption during delivery. The Vendor is responsible for ensuring that delivery practices comply with food safety standards.
4.3 Timeliness: Vendors agree to prepare and have food ready for collection or delivery within the time frame agreed upon via the Platform.
4.4 Menu Accuracy: All menu descriptions, pricing, and availability of items must be kept accurate and up-to-date. Vendors are responsible for ensuring that food provided matches the description presented to customers.
5. Fees and Payments
5.1 Commission: Vendors agree to pay a commission fee to Agile African Restaurant for each sale made via the Platform. The commission fee will be clearly outlined during registration and may be updated from time to time with prior notice.
5.2 Payouts: Payments for food sold via the Platform will be processed on a regular basis (e.g., weekly, bi-weekly) and will be paid to the Vendor's designated bank account after deducting the agreed-upon commission fee.
5.3 Bank Account Details: Any changes made to the bank details will not be updated until 72 hours have passed and will be subject to AAR approval. Additionally, please ensure that the new bank details provided match the name on the previous bank details.
5.4 Refunds: Vendors are responsible for refunding customers in cases where the food delivered does not meet expected standards, is not as described, or is otherwise unsatisfactory due to Vendor error. Any refunds provided to customers may be deducted from Vendor payments.
6. Marketing and Use of Vendor Information
6.1 Vendor Promotion: By registering, you grant Agile African Restaurant the right to use your business name, logo, menu, and other related information for marketing and promotional purposes on the Platform and related channels.
6.2 Data Usage: We may collect and process data relating to the Vendor’s business and food sales. All data will be processed in compliance with the General Data Protection Regulation (GDPR) and applicable UK data protection laws.
7. Termination and Suspension
7.1 Termination by Vendor: Vendors may terminate their account at any time by providing written notice to us. Any outstanding obligations must be settled before termination is finalized. Vendors need to give 10 working days notification via email to AAR admin prior to contract termination'.
7.2 Termination by Us: We reserve the right to terminate or suspend your account with immediate effect if:
You breach any part of this Agreement.
You fail to comply with legal or food safety standards.
Your account is inactive for an extended period.
We believe your continued registration may harm our business or customers.
7.3 Effect of Termination: Upon termination, you will no longer have access to the Platform, During the ten working days after giving notice of termination you will continue to have access to the AAR platform and transact, and any pending payments owed to you will be processed in line with our pay-out schedule.
8. Liability
8.1 Vendor Liability: Vendors are solely responsible for any claims, damages, liabilities, or expenses arising from the food they provide, including any issues related to food safety, allergens, or customer dissatisfaction. This also applies during the ten working days period after Vendors have given notice for termination to AAR. Vendor will be responsible for Any Claim that arises within the ten working days period.
8.2 Indemnity: You agree to indemnify and hold harmless Agile African Restaurant, its affiliates, and employees from any claims, damages, or losses arising from your use of the Platform, violation of this Agreement, or sale of food.
8.3 Platform Liability: We will not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Platform, including issues related to the Vendor's food sales, delivery delays, or business losses.
9. Dispute Resolution
9.1 Customer Complaints: Agile African Restaurant is responsible for handling customer complaints related to the food sold via the Platform. Vendors may assist in mediating disputes but is not liable for resolving these disputes on behalf of Agile African Restaurant.
9.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to Terms
We may update these Terms and Conditions from time to time. Vendors will be notified of any significant changes, and continued use of the Platform after such changes will be deemed acceptance of the revised terms.
By registering and using the Platform, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
